1. Agreement and eligibility
These Terms of Service (“Terms”) govern use of KEXAR websites, spreadsheets, add-ons, templates, documentation, downloads, and related materials (collectively, “KEXAR”), provided by Prism Digital Ventures (“we,” “us,” or “our”). By purchasing, installing, accessing, or using KEXAR, you agree to these Terms.
You must be legally able to enter into these Terms and use KEXAR only for lawful business purposes.
2. Product license
Subject to payment of any applicable purchase price and compliance with these Terms, the purchaser receives a limited, non-exclusive, non-transferable license to use the purchased KEXAR product for the purchaser’s own business operations.
For the KEXAR Contractor Project System, the purchaser may use the system to create client-facing project documents for the purchaser’s own projects. The purchaser may not resell, sublicense, redistribute, publicly post, share access to, or provide the KEXAR spreadsheet, source code, add-on, templates, documentation, or substantially similar derivative materials as a competing or stand-alone product.
Generated project documents belong to the purchaser, subject to any third-party rights and applicable law. KEXAR branding, software, templates, documentation, website content, and underlying product materials remain owned by Prism Digital Ventures and its licensors.
3. User responsibilities
You are responsible for:
- entering accurate project, cost, schedule, client, and payment information;
- reviewing every generated calculation and document before relying on or sharing it;
- maintaining appropriate backups and Google account security;
- complying with applicable construction, licensing, tax, privacy, consumer-protection, accessibility, recordkeeping, and contracting requirements;
- protecting client and project information; and
- obtaining qualified local professional review when the work calls for legal, accounting, tax, engineering, architectural, safety, or other licensed advice.
4. No professional advice
KEXAR products are productivity and document-generation tools. They do not provide legal, accounting, tax, engineering, architectural, safety, licensing, or construction-management advice.
Templates and calculations may not satisfy the requirements of a particular jurisdiction, trade, project, client, or contract. Have qualified local counsel review and adapt agreement language, notices, payment terms, remedies, and compliance provisions before use.
5. Google and third-party services
The KEXAR Contractor Project System depends on Google Sheets, Google Docs, Google Drive, Apps Script, Google Workspace Marketplace, and related Google services. Those services are controlled by Google and may change, impose quotas, experience interruption, or become unavailable. Your use of Google services is governed by Google’s terms and policies.
Purchases made through Etsy or another marketplace may also be subject to that marketplace’s payment, download, refund, and account policies. Marketplace policies do not grant additional rights to redistribute KEXAR products.
6. Availability, updates, and support
We may improve, correct, replace, or discontinue features. We do not promise that every feature will always be available or compatible with every Google account, browser, administrator policy, operating environment, or third-party service change.
Current support information is available at kexar.net/support. Support does not include legal review, bookkeeping, project administration, custom software development, or correction of inaccurate user-entered information unless separately agreed in writing.
7. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, KEXAR is provided “as is” and “as available.” We disclaim warranties that may legally be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.
To the maximum extent permitted by applicable law, Prism Digital Ventures will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or data; project delays; payment disputes; or claims arising from inaccurate user-entered information or unreviewed documents.
Where liability cannot be excluded, aggregate liability relating to a KEXAR product will not exceed the amount paid for that product during the twelve months preceding the event giving rise to the claim, except where applicable law prohibits that limitation.
8. Termination, changes, and contact
You may stop using KEXAR and uninstall applicable add-ons at any time. We may terminate a license for material violation of these Terms. Provisions concerning ownership, restrictions, disclaimers, and limitations survive termination where their nature requires it.
We may update these Terms when products, law, or business practices change. The effective date above identifies the current version. Continued use after an effective update constitutes acceptance to the extent permitted by law.
